Terms & Conditions

Clear rules for using Instalify with confidence.

How billing, suspension, premium services, maintenance, data retention and lawful disclosure actually work — written to match what the system does, not what a template says.

1. Agreement to these terms

These Terms & Conditions govern access to and use of Instalify — the website, dashboards, onboarding, and every business management, inventory, customer, sales, installment, recovery and accounting feature the platform provides. Instalify is operated by Kode Vision, Lahore, Pakistan.

By creating an account, signing in, starting a trial, inviting staff, or using any Instalify feature, you confirm that you are authorised to accept these terms for yourself and for the business you represent.

Acceptance is electronic and legally binding. Under the Electronic Transactions Ordinance, 2002, a contract is not denied legal effect merely because it was formed electronically. Clicking to accept, signing up, or continuing to use the service has the same effect as a signed agreement.

These terms are governed by the laws of the Islamic Republic of Pakistan, and the courts at Lahore have exclusive jurisdiction over any dispute arising from them.

2. Monthly subscription, due date, and automatic suspension

The monthly subscription fee must be paid on or before the 5th of each month. The 5th is the last date.

On the 6th, if payment has not been received, business login is automatically blocked. The system does this on its own — no person switches it off and no person switches it back on. Access returns automatically once the payment is received and recorded in full.

There is no relaxation, grace period, or extension on the due date. Requests for extra days cannot be granted, because the suspension is not a manual decision.

A part payment does not restore access. The subscription is either paid in full or it is unpaid — the system has no state in between, and no partially-paid account is reactivated. Any shortfall, however small, leaves the account suspended until it is cleared.

Payment is treated as received when it is confirmed and recorded against your business in the system, not when it is sent. Allow for bank or wallet settlement time when paying close to the due date.

Instalify reserves the full right to stop a business's service where the monthly subscription fee is not submitted. Suspension for non-payment is not a breach of these terms by Instalify.

Fees are exclusive of any tax, duty, or levy payable under the laws of Pakistan (including provincial sales tax on services and any withholding required under the Income Tax Ordinance, 2001). Where tax is applicable it is charged in addition to the listed fee, and any amount you are required to withhold does not reduce what is due to Instalify.

3. Premium services — separate charges and cancellation

Premium services are charged separately from, and in addition to, the normal monthly subscription. They are add-ons; their charges never replace or reduce the base monthly fee.

A premium service cancelled on the same date it was activated carries no charge. If you activate an add-on and unsubscribe from it the same day, nothing is billed for it.

Once a day has passed, the service cannot be removed by you, and its charge appears on the current month's invoice and must be paid. It does not stop at the next day, the next week, or on request after the fact.

To cancel a premium service you must contact the support team in advance, before the service is added or on the same day it is added. Cancellation arranged later takes effect going forward only — the charge for a service that has already been added still has to be paid.

Where a premium service carries a one-off setup fee, that fee is billed once on the first invoice after the service is entered and is not refundable once the setup work has begun.

Premium service prices may change. Any change is applied from the next billing cycle, not retrospectively.

4. Accounts, credentials, and responsibility for activity

Keep your password secure and never share it with anyone — not with staff, not with a colleague, not over WhatsApp or SMS, and not with anyone claiming to be from Instalify. Instalify staff will never ask you for your password.

Instalify is not responsible for entries, transactions, deletions, or any other activity carried out inside your business using your credentials. Everything done through your account is treated as done by you or by someone you allowed in.

Business owners and administrators are responsible for staff access, roles, permissions and branches. Remove a user's access the day they leave. Every screen and action in Instalify is permission-gated precisely so that access can be given narrowly and withdrawn cleanly.

If you believe your credentials have been compromised, change the password immediately and inform support. Unauthorised access to a computer system is an offence under the Prevention of Electronic Crimes Act, 2016 (sections 3 and 4), and sharing credentials makes it far harder to establish who is responsible.

The platform records an audit trail of activity. Those records are used to determine what happened in an account and may be produced where a dispute or a lawful request requires it.

5. Accuracy of the information you provide

You must provide accurate business, branch, owner, customer, guarantor, inventory, sales and accounting information, and review entries before saving them.

If the information you provided is wrong, and that wrong information is later supplied to a government department under a lawful request, the responsibility for it is yours as the business owner — not Instalify's. Instalify supplies what is recorded in your account; it does not verify the truth of what you entered.

You confirm that you are legally entitled to collect and process the customer information you put into Instalify — including CNIC numbers, photographs and guarantor details — and that you have obtained whatever consent the law requires from those individuals.

Where the platform sends SMS or WhatsApp messages to your customers, you are responsible for having their consent and for complying with the Pakistan Telecommunication Authority's requirements on unsolicited messages. Instalify provides the channel; the relationship with the recipient is yours.

Instalify organises operational records. It does not replace professional accounting, tax, audit, legal or compliance advice, and it is not a substitute for filings you are required to make yourself.

6. Maintenance, updates, and availability

Instalify is updated regularly. Where an update requires the system to be stopped, Instalify may take the platform down for maintenance for one or two days.

Users will be informed before the system is stopped for a planned update. Notice is given through the dashboard, and through the contact details registered against your business.

If the work requires it, the maintenance window may be extended by a few more days. Instalify will keep users informed while that continues.

No online service can guarantee uninterrupted availability. Outages, third-party provider failures, network problems, power or connectivity failures at your premises, and security events may affect access, and planned maintenance is not treated as downtime for any purpose under these terms.

Instalify is not liable for events outside its reasonable control, including acts of God, war, civil unrest, strikes, epidemic, government or regulatory action, internet or telecommunication failure, and failure of a hosting or payment provider.

7. Non-payment, dormancy, and removal of data

If a business does not pay its bill for two or three months and is also not operating on the system, the account is treated as dormant and suspended.

Instalify's responsibility for that data lasts three (3) months from the date the account falls into non-payment. Within that window the data is retained and the account can be restored by clearing the outstanding amount.

After six (6) months, the system automatically removes that business's data. This deletion is automatic and is not reversed. Only a business that continues its service remains entitled to its data.

Responsibility for data lost to that automatic removal rests with the user. Instalify does not accept responsibility for it.

Export your records before you stop paying. This matters beyond Instalify: under the Income Tax Ordinance, 2001 (section 174) and the Sales Tax Act, 1990 (section 24) you are required to keep your business records for six years, and a company must keep its books of account under the Companies Act, 2017 (section 220) for ten years. Instalify's six-month deletion schedule is far shorter than those duties, so keeping your own copy is your legal obligation, not an optional precaution.

Instalify will make a reasonable attempt to notify the registered contact before deletion, but notification is a courtesy and its failure — for example because the registered number or email is out of date — does not delay or cancel the automatic removal.

8. Lawful requests from government and investigating authorities

Where a government department, regulator, court, or investigating authority makes a lawful demand for information about your business, Instalify is entitled to provide the data held in your account.

This includes, without limitation, requests under the National Accountability Ordinance, 1999, the Income Tax Ordinance, 2001 (including a notice under section 176), the Sales Tax Act, 1990, the Anti-Money Laundering Act, 2010, the Prevention of Electronic Crimes Act, 2016, and any order of a court of competent jurisdiction in Pakistan.

Instalify supplies the records as they stand in your account. It does not audit, correct, or vouch for them. Where the information you supplied was inaccurate, the consequences of that inaccuracy remain yours (see section 5).

Instalify discloses only what the request lawfully requires, keeps a record of what was disclosed and to whom, and will inform your registered contact where the law permits it to do so. Instalify will not hand over your data to a private party or to a department that has no lawful authority to demand it.

How this works in practice — what categories are disclosed, and what is logged — is set out in the Privacy Policy.

9. Acceptable use

You agree not to misuse Instalify, attempt unauthorised access, bypass role permissions, upload malicious content, interfere with service operation, scrape the platform, or use the product for unlawful, fraudulent, deceptive or harmful activity.

Instalify may not be used for any business that is unlawful under the laws of Pakistan, nor to record transactions intended to conceal the source of funds. Obligations under the Anti-Money Laundering Act, 2010 rest with your business.

You may not use Instalify to store or process information you are not legally allowed to collect. You are responsible for obtaining the permissions required from customers, guarantors, staff and business contacts.

Attempting to access another business's data, or another branch's data beyond your granted permissions, is both a breach of these terms and an offence under the Prevention of Electronic Crimes Act, 2016.

10. Intellectual property and your data

Instalify, its interface, branding, design, software, documentation and workflows are owned by Kode Vision and its licensors. You receive only the limited, non-exclusive, non-transferable right to use the product under these terms.

Your business data remains yours. You grant Instalify the limited permission needed to host, process, secure, display and operate that data in order to deliver the service — and, where lawfully required, to disclose it under section 8.

Instalify may use aggregated and anonymised statistics — figures that identify no business, no customer and no individual — to improve the product and describe overall platform usage.

11. Suspension and termination

Access may be suspended or terminated for unpaid fees, suspected misuse, security risk, breach of these terms, a legal requirement, or activity that may harm Instalify, its users, their customers or third parties.

Suspension for non-payment is automatic and is described in section 2. Suspension for any other reason may be immediate where there is a security or legal risk.

You may stop using Instalify at any time by informing support. Before you stop, export your records — after termination, retention and deletion follow section 7 and the Privacy Policy.

Fees already invoiced or already consumed are not refunded on termination, including premium services that were active during the month.

12. Disclaimers and limitation of liability

Instalify is provided on an as-available basis. To the fullest extent allowed by law, Instalify disclaims warranties that the service will be error-free, uninterrupted, or fit for every specific business need.

To the fullest extent allowed by law, Instalify will not be liable for indirect, incidental, consequential, special or punitive damages, or for lost profit, lost revenue, lost data or business interruption arising from use of the service.

Where liability cannot be excluded, Instalify's total liability for any claim is limited to the subscription fees you paid for the three (3) months immediately before the event giving rise to the claim.

Nothing in these terms limits liability that cannot lawfully be limited under the laws of Pakistan.

13. Changes to these terms

These terms may be updated to reflect product changes, operational needs, legal requirements or security improvements. The date shown on this page is when the document was last revised.

Material changes — particularly to fees, the due date, or the data-retention schedule — will be notified in advance through the dashboard and your registered contact details.

Continued use of Instalify after updated terms are published means you accept them. If you do not agree, stop using the service and export your records.

14. Contact, disputes, and legal review

Questions about these terms should be sent through the official Instalify support channel available in your account, or to the contact details published on the website.

The parties will attempt to resolve any dispute in good faith first. Failing that, the dispute is subject to the laws of Pakistan and the exclusive jurisdiction of the courts at Lahore. Any claim must be brought within the period allowed by the Limitation Act, 1908.

This document sets out how Instalify operates and should be reviewed by qualified legal counsel in Pakistan before being relied on in a dispute. It is written for a Pakistan-based SaaS business and is not legal advice.
